"Corporate Governance for the Common Good" - William Lazonick

Business corporations interact with household units and government agencies to make investments in productive capabilities required to generate innovative goods and services. When they work harmoniously, these three types of organizations constitute 'the investment triad'. The Biden administration's Build Back Better agenda to restore sustainable prosperity in the United States has focused on investment in productive capabilities by government agencies and household units. Largely absent from the Biden agenda have been policy initiatives to ensure that, given government and household investment in productive capabilities, the governance of major U.S. business corporations supports investment in innovation. This Element explains how corporate financialization, manifested by predatory value extraction in the name of 'maximizing shareholder value', undermines investment in innovation in the United States. It concludes by outlining a policy framework, beginning with a ban on stock buybacks, that confronts predatory value extraction and puts in place social institutions that support sustainable prosperity.

 

William Lazonick est professeur émerite à l’University of Massachusetts Lowell, Fellow au Candian Institute for Advanced Research et chercheur associé à l’University of London. Son livre Sustainable Prosperity in the New Economy? Business Organization and High-Tech Employment in the United States a gagné le Schumpeter Prize en 2010. Son article “Profits Without Prosperity: Stock Buybacks Manipulate the Market and Leave Most Americans Worse Off”, a gagné le HBR McKinsey Award pour le meilleur article dans le Harvard Business Review en 2014. Lazonick est diplômé de l’University of Toronto (BSc), du London School of Economics (MSc) et il a un PhD en économie de Harvard University, et un doctorat honoraire de Uppsala University et de l’University of Ljubljana. Son nouvel Investing in Innovation, publié en 2023 par Cambridge University Press, offre une analyse détaillée de l’impacte des pratiques d’extraction de valeur qui se développent depuis plusieurs décennies dans les entreprises de haute technologie aux Etats Unis. En plus de l’appauvrissement du paysage technologique et de la capacité d’innovation du pays, cette tendance et l’injonction de maximisation de valeur actionnariale qui en est à la base, contribuent à accroître les inégalités et à réduire la capacités des sociétés de faire face aux transitions écologiques nécessaires.

« Alterity and organization: The archetype of the Friend » - Monika Kostera 

Archetypes are fundamental patterns underlying key ideas in human culture. Several of them are used as notions inspiring organizing and management. The Friend is an archetype of communication and cooperation that is often to be found at heart of cooperatives and other democratic organizations. The empirical material is based on my study of alternative organizations conducted 2012-2019.

Monika Kostera, Titular Professor in economics and the humanities. She works as Professor in Sociology at Warsaw University, as well as Professor in Management at Södertörn University, Sweden, and is affiliated with LITEM, l'Université Évry Val-d'Essonne, France. She has also been employed as professor and chair in the UK, including at Durham University. She writes and publishes texts on organization theory as well as poetry. She is Associate Editor at Gender, Work and Organization and at Culture and Organization, and has been co-editing several journals including British Journal of Management. Her current research interests include organizational imagination, disalienated work and organizational ethnography. She is member of Erbacce Poets’ Cooperative.
